1. Acceptance of Terms

Please read these Terms of Service (the "Terms") carefully. By registering an account, accessing the API, or using the AAU Global Telemetry Network (the "Service"), you (the "User" or "Customer") agree to be bound by these Terms, as well as our Privacy Policy and Acceptable Use Policy. If you are using the Service on behalf of an entity (such as a company, university, or government agency), you represent and warrant that you have the legal authority to bind that entity. If you do not agree to these Terms, please stop using the Service immediately.

2. Service Description & Boundaries

2.1 Nature of Service

AAU provides distributed network infrastructure that allows users to send requests to third-party artificial intelligence models ("Target Models") through various physical nodes worldwide and receive responses. Our core services are "telemetry routing" and "audit report generation."

2.2 Third-Party Dependencies

You acknowledge that AAU serves only as a transmission channel. We do not own, operate, or control the Target Models (such as GPT-4, Claude, Llama, etc.).

  • AAU does not guarantee the availability, accuracy, or security of Target Models.
  • AAU is not responsible for any downtime, API changes, or blockages by Target Model providers.

2.3 Service Changes

Given the rapid pace of technological advancement, we reserve the right to update, modify, or temporarily suspend portions of the Service without prior notice (for example, replacing an underlying ISP provider in a particular region).

3. Account Registration & Security

3.1 Credential Management

You are fully responsible for the security of your account credentials (including username, password, and API keys). Any traffic initiated using your API keys will be deemed your actions.

3.2 Prohibition on Sharing

Unless authorized sub-accounts under the same enterprise account, sharing your access credentials with third parties is strictly prohibited. In the event of credential compromise, you must immediately notify the AAU security team.

4. Intellectual Property Ownership

4.1 AAU's Rights

All ownership, code, algorithms, network architecture, interface design, and the "AAU" brand trademark belong to AAU and its licensors. These Terms grant you only a limited, non-exclusive license to use the Service.

4.2 User's Rights

You retain ownership of the following:

  • Input Data: The Prompt you send to the models.
  • Audit Results: Test reports, log data, and analytical conclusions obtained through AAU. You have the right to use these audit reports for commercial publication, compliance certification, or academic research.

5. Payment, Subscription & Refunds

5.1 Billing Model

The Service is based on a "subscription" or "Pay-as-you-go" model. Specific rate schedules are subject to the real-time pricing published on our official website. All fees are settled in United States Dollars (USD).

5.2 Taxes

Unless otherwise stated, listed fees do not include taxes. You are responsible for paying all applicable value-added tax, sales tax, or goods and services tax.

5.3 No Refund Policy

Unless otherwise mandated by law, subscription fees already paid are non-refundable. Accounts banned for violating the Acceptable Use Policy will forfeit any remaining balance.

6. Disclaimer of Warranties

The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis. To the maximum extent permitted by law, AAU expressly disclaims all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free at all times.
  • We do not guarantee that AI responses obtained through specific nodes will pass any particular legal compliance review.

7. Limitation of Liability

7.1 Indirect Damages

Under no circumstances shall AAU, its officers, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data loss, damage to goodwill, or business interruption), even if we have been advised of the possibility of such damages.

7.2 Liability Cap

AAU's total liability to you (whether based on contract, tort, or otherwise) shall not exceed the total amount of service fees you paid to AAU in the 12 months preceding the claim event.

8. Indemnification

You agree to indemnify and hold harmless AAU and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or debts (including attorney's fees) arising from:

  • Your use or misuse of the Service;
  • Your violation of any provision of these Terms;
  • Your infringement of any third-party rights, including copyright, privacy rights, or property rights;
  • Your audit content violating the terms of service of Target Model providers.

9. Term & Termination

9.1 Termination

You may stop using the Service at any time. If you violate these Terms, AAU has the right to immediately suspend or terminate your access without any liability.

9.2 Survival

The provisions of these Terms regarding intellectual property, disclaimers, limitation of liability, and indemnification shall survive termination of the agreement.

10. Governing Law & Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

10.2 Arbitration

Any dispute arising out of or in connection with these Terms shall be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with its arbitration rules then in effect. The language of arbitration shall be English.

11. General Provisions

11.1 Severability

If any part of these Terms is found by a court to be invalid or unenforceable, that part shall be limited or eliminated to the minimum extent necessary, and the remaining portions shall remain in full force and effect.

11.2 Force Majeure

AAU shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or third-party service provider failures.
